         CONTRACT OF ENTRUST ATTORNEY FOR SECOND INSTANCE

 合同背景：甲方（委托人）在法院一审败诉，随后在本合同委托乙方（委托律师）进行二审及可能的二审之后的申诉，双方就此签署本合同。

根据《中华人民共和国民法通则》、《中华人民共和国合同法》以及其他相关法律法规的规定，甲乙双方双方同意以下条款：

Parties hereto hereby , in accordance with the provisions of The General Principles Of Civil Law, Contract Law and other laws and regulations, agree to the following conditions and terms:

一、       委托事项 Entrusted Items

1.1   甲方与电讯有限公司之间诉讼案的二审或者申诉；

The second instance, or appeal of the appeal between Party A and Telecommunication Co., Ltd.;

Other litigation, arbitration, appeals, enforcements and/or all proceedings relevant to the actions listed in Exhibit A until final judgment and enforcement of judgment, including collection of judged amount have been reimbursed.

The final decision regarding strategy of litigation and/or arbitration as well as any and all facts of the litigation, if only in reason, are at the full discretion of Party A.  Pursuant to the terms of this Agreement, Party B shall follow the instructions of Party A unless these instructions violate the law in the People’s Republic of China.

1.4本协议一经签署，甲方应立即向乙方移交案卷。如果案件正在审理中或出于其他律师处理中，甲方应尽快将案卷移交乙方。每项诉讼为不同的法律程序阶段。乙方承担从案卷移交起的职责。

Transfer of action file shall be immediately effected upon the execution of this Agreement.  Where the cases are ongoing and are at another law firm and are impractical to transfer, they shall be transferred to Party B by Party A at the earliest possible time. Each litigation is at a different stage in the legal proceedings.  It will be the responsibility of Party B to assume the cases from the point Party B receives them.

二、代理费用及支付方式 Fees and Payment

2.1代理费用。乙方根据本协议完成全部代理工作的代理费用由如下两部分组成：
